In the event of any conflict between these Terms and a Service Agreement, the provisions of the Service Agreement shall prevail.
3. Eligibility
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of a veterinary practice or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
4. Account Registration and Security
To access certain features of the Services, you may be required to register for an account. You agree to:
Provide accurate, current, and complete information during the registration process.
Maintain and promptly update your account information.
Maintain the security of your password and identification.
Notify VetDragon immediately of any unauthorized use of your account.
Be responsible for all activities that occur under your account.

6. Fees and Payment
Fees for our Services will be clearly stated in your Service Agreement.
All fees are due and payable in accordance with the terms specified in your Service Agreement.

Late payments may be subject to interest or late fees as specified in your Service Agreement.
All fees are exclusive of applicable taxes, which you are responsible for.
7. Client Responsibilities
As a client of VetDragon, you agree to:
Provide VetDragon with all necessary access, information, and cooperation to perform the Services (e.g., access to Google Business Profile, CRM, or other platforms as needed).
Ensure that all content, data, and information you provide to VetDragon complies with all applicable laws and regulations, including privacy laws (e.g., HIPAA compliance for patient data if applicable).
Review and approve content or strategies as requested by VetDragon in a timely manner.
Comply with the terms and conditions of third-party platforms (e.g., Google, Yelp) when utilizing our Services. VetDragon is not responsible for changes or enforcement of these third-party platform policies.
8. Intellectual Property Rights
VetDragon's IP: All intellectual property rights in the Website, the Services (excluding client-provided content), VetDragon's software, methodologies, trademarks, and logos are owned by VetDragon or its licensors.
Client Content: You grant VetDragon a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display the content you provide to us (e.g., review responses, marketing content) solely for the purpose of providing the Services to you.
Deliverables: Any specific deliverables created for you as part of the Services will have their intellectual property rights governed by your specific Service Agreement.
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed by the other party during the course of using the Services, including but not limited to business strategies, client lists, and technical information. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Term and Termination
The term of your Services will be specified in your Service Agreement.
Either party may terminate a Service Agreement as outlined therein.
Upon termination, you will cease all use of the Services and pay any outstanding fees.
Sections 7 (Intellectual Property), 8 (Confidentiality), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Governing Law), and 14 (Dispute Resolution) shall survive any termination of these Terms.
11. Disclaimers
No Guarantees: VetDragon does not guarantee specific results (e.g., a certain number of positive reviews, specific star ratings, or increased revenue). Online reputation management is influenced by many factors outside our control, including client's actual service quality, third-party platform policies, and customer behavior.
"AS IS" Basis: The Website and Services are provided on an "AS IS" and "AS AVAILABLE" basis. VetDragon makes no warranties, express or implied, regarding the Website or Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Third-Party Platforms: VetDragon is not responsible for the policies, actions, or changes of third-party platforms (e.g., Google, Facebook, Yelp) that may affect the Services.
12. Limitation of Liability
To the maximum extent permitted by law, VetDragon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Website or Services; (b) any conduct or content of any third party on the Website; or (c) unauthorized access, use or alteration of your transmissions or content. In no event shall VetDragon's aggregate liability for all claims relating to the Services exceed the amount paid by you to VetDragon for the 6-month period preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless VetDragon, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of any other person or entity; or (d) any content you provide to VetDragon.
